Section 1: Definition

"Company" refers to Manifest Generator, LLC dba Metagenius.ai
"Client" or "User" refers to any purchaser or user of our Services
"Services" refers to our website, programs, products, and platforms

Section 2: Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use our Services.

Please READ carefully, as this pertains to the Agreement of your registration with any of the products sold (sometimes referred to as Program) by Manifest Generator, LLC (sometimes referred to as “Company”).

By purchasing our products, you (sometimes referred to as "Client") agree to the following terms stated.

PROGRAM

Manifest Generator, LLC agrees to provide course content, identified as an online course aid, to help Clients market their business online. Client agrees to abide by all policies and procedures outlined in this Agreement as a condition of their participation in any of our programs.

DISCLAIMER

Client understands Julie Bishop and Manifest Generator, LLC is not an employee, agent, lawyer, doctor, manager, therapist, public relations or business manager, registered dietician, or financial analyst, psychotherapist or accountant. Client understands their participation in this program will not treat or diagnose any disease, illness, or ailment and if they should experience any such issues they should see their registered physician or other practitioner as determined by their own judgment.

Client understands that neither Julie Bishop, nor Company, has promised, nor shall be obligated to, the following:

Success in business, results, and employment for the Client.
Provide assistance, as either coach or mentor, with consultations for future college or business contracts made by Client.
Procure any publicity, social media exposure, interviews, write-ups, features, television, or print promotions for the Client.
Introduce Client to Julie’s full network of contacts, media, or business partners.

Section 3: Use of Services

You must be the age of majority in your jurisdiction or have parental consent. You agree not to use our Services for unlawful or unauthorized purposes.

Section 4: Payment Terms

All sales are final unless a specific refund policy is stated.

Client is responsible for all payment plans.

Non-payment may result in referral to collections.

Section 5: Refunds

No refunds unless explicitly stated during checkout.

Section 6: Intellectual Property

All content is the sole property of the Company. You may not reproduce, resell, or distribute without express written consent.

Section 7: Confidentiality

Manifest Generator, LLC respects Clients' privacy and insists that the Client respects ours as well. Thus, consider this a mutual non-disclosure Agreement. Any confidential information shared by Manifest Generator, LLC Participants or any representative of Manifest Generator, LLC is confidential, proprietary, and belongs solely and exclusively to the Client or representative who discloses it. Parties agree not to disclose, reveal, or make use of any confidential information or any transactions during discussions, in the forum or otherwise.

Client agrees not to use such confidential information in any manner other than in discussion with other Clients, or Julie, during the respective program. Confidential information includes, but is not limited to, information disclosed in connection with this Agreement, and shall not include information rightfully obtained from a third party.

Both Parties will keep private information in strictest confidence and shall use their best efforts to safeguard the confidential information and to protect it against disclosure, misuse, espionage, loss, and theft.

Client agrees not to violate the Publicity or Privacy Rights belonging to Manifest Generator, LLC. Furthermore, Client will NOT reveal any information to a third party obtained in connection with this Agreement or our direct or indirect dealings with Client, including but not limited to, names, email addresses, third-party company titles or positions, phone numbers, or postal addresses. Additionally, Client will not, at any time, either directly or indirectly, disclose confidential information to any third party.

By purchasing our products, you agree that if you violate or display any likelihood of violating this Agreement, Manifest Generator, LLC and/or the other program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.

Section 8: Disclaimers

The Company does not guarantee specific results, earnings, or outcomes. Our programs are educational and not medical, financial, or legal advice.

Section 9: Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising from your use of the Services.

Section 10: Indemnification

You agree to indemnify and hold harmless the Company from any claims or liabilities arising from your use of the Services.

Section 11: Dispute Resolution

All disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association.

Section 12: Modification of Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance.

Section 13: Termination

We reserve the right to suspend or terminate access for violations of these Terms.

Section 14: Governing Law

These Terms shall be governed by the laws of the State of Massachusetts, USA.

Section 15: Client Responsibility

Products developed by Manifest Generator, LLC are for strictly educational purposes ONLY. Client accepts and agrees that Client is 100% responsible for their progress and results from products developed by Manifest Generator, LLC. Manifest Generator, LLC makes no representations, warranties, or guarantees verbally or in writing. Client understands that because of the nature of products developed by Manifest Generator, LLC and their extent, the results experienced by each Client may significantly vary.

Client acknowledges that, as with any business endeavor, there is an inherent risk of loss of capital and there is no guarantee that Client will reach their goals as a result of participation in products developed by Manifest Generator, LLC. Manifest Generator, LLC program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice tailored to any individual. Manifest Generator, LLC assumes no responsibility for errors or omissions that may appear in any program materials.
